The fundamental trade-off

Free Zones win on speed, cost, and tax. Mainland wins on market access. If you'll invoice UAE clients directly, mainland is usually the answer. If your customers are international, a Free Zone is often optimal.

Ownership and control

Both allow 100% foreign ownership for most activities. Certain strategic mainland activities still require an Emirati partner or agent.

Corporate tax treatment

Free Zone entities with 'qualifying income' benefit from 0% Corporate Tax. Mainland companies pay 9% on profits above AED 375,000, with Small Business Relief available under AED 3M revenue until 2026.

Banking reality

Well-established Free Zone jurisdictions (DMCC, DIFC, ADGM) enjoy strong banking reputations. Mainland companies are broadly acceptable to all UAE banks. Newer or activity-restricted Free Zones can face longer onboarding.

Our verdict

There's no universally 'better' option — only the option that fits your customer base and tax profile. Book a structuring call before you register anything.
